Approval of Prospectus for admission to trading on a regulated market of unsecured, subordinated Notes of BACB
Pursuant to Approval No. 8430-01-20836-0 dated 10.06.2024, the Financial Market Authority of Austria (Finanzmarktaufsicht) approved the Prospectus dated 10.06.2024 for admission to trading on a regulated market of unsecured, subordinated Notes, issued by Bulgarian-American Credit Bank, ISIN BG2100017248, structured to comply with the requirement for Tier 2 capital pursuant to art. 63 of the Capital Requirements Regulation (EU) No 575/2013 of the European Parliament and of the Council of 26 June 2013 on prudential requirements for credit institutions and investment firms and amending Regulation (EU) No 648/2012 ("Regulation No 575/2013"), in total amount of EUR 15,000,000, divided in 150 ordinary, interest-bearing, book-entry, registered in the Bulgarian Central Depository, freely transferable, unsecured, non-convertible, subordinated Notes , with face value and issuing price of EUR 100,000 per one Note, issued on 03.06.2024 and with maturity on 03.06.2034 (hereinafter referred to as the "Prospectus").

The target market for the Notes is eligible counterparties and professional clients only, each as defined in Directive 2014/65/EU of the European Parliament and of the Council of 15 May 2014 on markets in financial instruments and amending Directive 2002/92/EC and Directive 2011/61/EU (Markets in Financial Instruments Directive II – "MiFID II").
BACB informs potential eligible investors that the Prospectus will be valid till 10.06.2025 and may in this period be used for admission of the Notes to trading on regulated markets. In case of a significant new factor, material mistake or material inaccuracy relating to the information included in this Prospectus which may affect the assessment of the Notes, the Issuer will prepare and publish a supplement to the Prospectus without undue delay in accordance with art. 23 of Regulation (EU) 2017/1129 of the European Parliament and of the Council of 14 June 2017 on the prospectus to be published when securities are offered to the public or admitted to trading on a regulated market, and repealing Directive 2003/71/EC. The obligation of the Issuer to supplement the Prospectus will cease to apply once the Notes have been admitted to trading on a regulated market and at the latest upon expiry of the validity period of this Prospectus.
The Prospectus contains the definitive information that BACB provides to potential investors to help them decide whether or not to invest in Notes of the issue. Potential investors should note that BACB is responsible for the accuracy of the information included in the Prospectus only.
Investing in Notes involves certain risks. It is in the interest of the investors to read the Prospectus in full, paying particular attention to information on risk factors, before deciding to invest in the Notes.
The Notes are in process of applying for admission to trading on the Official Market (Amtlicher Handel) of the Vienna Stock Exchange, a regulated market pursuant to Directive 2014/65/EU, as amended (Markets in Financial Instruments Directive II – "MiFID II"). BACB is entitled to apply for admission of the Notes to trading on the regulated market of the on the "Bond Segment" of the Main Market of the Bulgarian Stock Exchange ("BSE") - a regulated market for the purposes of MiFID II. The Notes will not be submitted for admission to trading on any other regulated market or trading venue, including in other countries, with exception of the above. Stock-exchange transactions with the Notes will be possible after their admission to trading on the Official Market (Amtlicher Handel) of the Vienna Stock Exchange.
The distribution of the Prospectus may be restricted in certain jurisdictions under applicable law.
