Information for decisions of the General Meeting of the Shareholders of BACB

We hereby notify you of facts, circumstances, and information concerning “Bulgarian-American Credit Bank” AD (“BACB”) that constitute “inside information” within the meaning of Article 17 of Regulation (EU) No. 596/2014 on market abuse, as well as regarding personnel changes in the composition of the Supervisory Board of BACB pursuant to Article 100x, paragraph 1, item 3 of the Public Offering of Securities Act 

On 17 September 2026, an extraordinary General Meeting of Shareholders of “Bulgarian-American Credit Bank” EAD, Unique Identifier BACB17092026EGMS, was held, at which the following resolutions were adopted:

  1. Approved the transformation by merger, pursuant to Article 262n of the Commercial Act, of Tokuda Bank EAD, EIK 813155318, into Bulgarian-American Credit Bank AD (BACB), as a result of which BACB, as universal successor, acquires all the assets and business, including all rights and obligations, contractual relationships, and legal and factual relationships of Tokuda Bank, whilst Tokuda Bank ceases to exist and is wound up without liquidation.
    The merger shall take place subject to the receipt of prior authorisation for the reorganisation from the Bulgarian National Bank pursuant to Article 29(1)(3) in conjunction with Article 29b(2) of the Credit Institutions Act and following the receipt of prior approval from the Financial Supervision Commission (“FSC”) pursuant to Article 124(1) of the Public Offering of Securities Act (POSA) regarding the transformation agreement, under the terms of which the merger is to take place.
  2. Approved the Transformation Agreement pursuant to Article 262e, in conjunction with Articles 262f and 262g of the Commercial Code, concluded between BACB AD and Tokuda Bank EAD on 09 June 2026.

The resolutions of the General Meeting of Shareholders form part of the approvals required under the Commercial Act from the corporate bodies of the receiving bank, BACB, for the transformation. Shareholders, the public and customers will be informed of the next steps in the process of finalising the merger of Tokuda Bank into BACB.

The minutes of the Extraordinary General Meeting of Shareholders, Unique Identifier BACB17092026EGMS, containing information on the specific resolutions, will be publicly disclosed within the statutory time limits.
