What’s next for Tokuda Bank’s investment clients following the merger into BACB

Dear customers,

In connection with the upcoming merger of Tokuda Bank EAD into Bulgarian-American Credit Bank AD (BACB) in November 2026, please find below further information regarding the investment services you use.

Effective as of the date of the merger of Tokuda Bank EAD into BACB, the following shall apply: the General Terms and Conditions,applicable to the contracts with clients under transactions, involving financial instruments /GTC/, as well as  the Policy for Execution of Client Orders and Conflicts of Interest Policy Information pursuant to Ordinance No. 38 on the requirements for the activities of BACB’s as an investment firm, which can be found on the BACB corporate website, Investment Intermediary Services section. From the same date, the following documents of Tokuda Bank shall cease to apply:

  • General Terms and Conditions for Transactions in Financial Instruments
  • Rules and Criteria for the Classification of Clients
  • Conflicts of interest Policy
  • Execution of client orders Policy
  • Aggregation and Allocation of Client Orders Policy
  • Complaints Handling Policy
  • List of venues for the execution of client orders for transactions in financial instruments
  • General Information on Tokuda Bank as an Investment firm
  • Preliminary information on indicative costs and fees
  • Annex 1 to the Categorisation Rules – Suitability and Categorisation of Natural Persons
  • Annex 2 to the Categorisation Rules – Suitability and Categorisation of Legal Entities
  • Description of financial instruments and the risks associated with them – Annex 1 to the GTC
  • Description of costs and fees – Annex 2 to the GTC
  • Tariff

If you do not accept BACB’s GTC and/or Tariff, you may take the following actions no later than seven days before the merger date:

  • To transfer the financial instruments you own to a client account with an investment intermediary or a custodian bank of your choice, or to a personal account with “Central Depository” AD.
  • To sell the financial instruments you own, that are held in a client account at Tokuda Bank.

If you do not submit instructions to carry out any of the above actions within the period specified above, the financial instruments you hold will be automatically transferred to a client account with BACB.

Orders for transactions in financial instruments that have not yet been executed as at the date of the merger will be automatically cancelled.

Orders for the conclusion of transactions in financial instruments, for registration services, and for the transfer of financial instruments will be accepted no later than seven days before the merger date.

With regard to the other documents applicable to contracts with BACB clients, if we do not receive an explicit written objection to these documents within five working days of the publication of this notice, they shall come into force on the date of the merger, without the need for any further action on your part to accept them.

Important legal information:

By this notice and in accordance with Article 82(11) of the Financial Instruments Markets Act, we hereby give you notice, with at least one month’s advance notice, of the forthcoming changes to the GTC applicable to client contracts relating to transactions in financial instruments and the Tariff. Under current legislation, you are deemed to have accepted the changes unless you notify Tokuda Bank in writing that you do not accept these changes and terminate the relevant contract before the date of the merger, in which case you shall not be liable for penalties or costs, with the exception of costs relating to assets held.
