General Information

The merger of Tokuda Bank into BACB will bring the two banks together in a way that benefits your business by providing access to a wider branch network, more competitive business products and services, and easier access to financing under European programs and financial instruments.

Tokuda Bank will remain a separate commercial bank and will continue to serve you as before until its merger into BACB is registered with the Commercial Register at the Registry Agency. Once the merger is registered, Tokuda Bank will cease to exist as a separate legal entity and you will automatically become a BACB customer.

You will become a BACB customer. The changes will be introduced gradually rather than all at once, and the products and services you currently use will remain available throughout the process.

The terms and conditions of your loans and deposits will remain unchanged.

Your cards will be automatically reissued as Visa cards, offering even more features, convenience and promotional offers, in accordance with the applicable EU regulations.

Your bank accounts will be transferred to BACB and assigned new IBANs, which we will notify you of in due course.

Until the merger is completed, Tokuda Bank branches can provide you with information about BACB products and guidance on how to use them. Following the merger, as BACB customers, you will be able to choose from BACB's full range of products.

As of the merger date, the existing Tokuda Bank documents applicable to you will be replaced by the corresponding BACB customer documents, namely: the List of Terms and Conditions and Interest Rates Terms; General Terms and Conditions for the Provision of Payment Services and Related Payment Instruments, with the exception of Section III, Remote Banking; General Terms and Conditions Applicable to Deposits ; General Terms and Conditions for Processing Payments with Domestic and International Cards at Physical POS Terminals; General Terms and Conditions for the Issuance and Use of Revolving International Credit Cards for Legal Entities/Sole Traders; Glossary of Terms and Definitions Used in the General Terms and Conditions;; Agreement for Processing Payments with Domestic and International Cards at a Physical POS Terminal; Depositor Information Sheet; Prior Information on Single Payment Transactions; Fee Information Document; Terms and Conditions for Use of the PIN by SMS Service; and Terms and Conditions for Use of the "Additional Authentication for Online Payments by Bank Card" Service.

As of the merger date, the following Tokuda Bank documents will cease to apply: the List of Terms and Conditions and Interest Rates Terms; General Terms and Conditions for the Provision of Payment Services; General Terms and Conditions of Tokuda Bank AD and Central Cooperative Bank AD for Processing Payments with Bank Cards at Electronic POS Terminal Devices; General Terms and Conditions for Use of the Services Provided by the Operator "ePay" AD and "Tokuda Bank" EAD for Payment of Utility Bills by Bank Cards, "Electronic Utility Bills"; Depositor Information Sheet; Prior Information on Single Payment Transactions; Fee Information Documents for the various products; National List of the Most Representative Services Linked to a Payment Account; and Information on Secure Online Payments.

Following the merger date, the following Tokuda Bank documents currently in force will continue to apply: the Agreement for the Provision of Payment Services through "Internet Banking" and the General Terms and Conditions for Internet Banking; and the Framework Agreement for Opening and Servicing a Bank Account and Providing Payment Services to Legal Entities.

Branches and Branch Network

Until the merger is completed, you will continue to be served at Tokuda Bank branches. Following the merger, Tokuda Bank branches will become BACB branches and you will be served as BACB customers, with access to BACB's full range of products and services. You will be notified in advance of any changes affecting the branches. Detailed and up-to-date information will also be available on the dedicated merger pages of the Tokuda Bank and BACB corporate website.

Accounts, Deposits, Transfers and Other Services

Yes. Following the merger, your Tokuda Bank account will be transferred to BACB and assigned a new IBAN, which you will be informed of in advance so that you can provide it to your counterparties.

You will also be able to check your new IBAN online via the BACB website or the Tokuda Bank website.

Yes. At present, your current accounts with Tokuda Bank do not bear interest. Following the merger, interest will accrue on your current accounts in accordance with Section D, items 1 and 2 of BACB's Interest Rates Terms then in force.

Accounts and transactions carried out through them will be subject to the fees and charges set out in BACB's List of Terms and Conditions.

No. Deposit accounts will be transferred to BACB with the same agreed term, maturity date and interest rate, including those subject to individually agreed terms. On the first maturity date following the merger, your deposit will automatically be converted into a BACB Standard Deposit for the same term and at the interest rate set out in BACB's Interest Rates Terms then in force, unless you renegotiate it under the terms of another deposit product offered by BACB.

Tokuda Bank deposit products that are no longer available for sale will be transferred without an applicable interest rate, as is currently the case. Following the merger, you will be able to convert them at any time into another BACB product in accordance with BACB's Interest Rates Terms then in force.

Until the merger is completed, you will be able to withdraw funds from your accounts only at a Tokuda Bank branch. Following the merger, Tokuda Bank branches will become BACB branches, your accounts will be serviced by BACB, and you will be able to carry out transactions at any BACB branch.

Deposits are guaranteed up to EUR 100,000 separately for each bank for a period of six months from the date on which the transformation is registered in the Commercial Register and the Register of Non-Profit Legal Entities. After the expiry of this period, the deposits of a legal entity opened with Tokuda Bank and BACB before the merger, together with the interest accrued on them, are aggregated for the purposes of the guarantee of up to EUR 100,000 in accordance with Article 12(1) of the Bank Deposit Guarantee Act. 

With the new BACB Visa card, which will replace your Tokuda Bank MasterCard debit card, you will be able to withdraw cash free of charge from all BACB ATMs.

Following the merger, a transitional period will be provided during which, if you receive a transfer to your Tokuda Bank IBAN, it will be credited to your new BACB IBAN. After this period, you will no longer be able to receive transfers to your Tokuda Bank IBAN. We recommend that, once you receive your new BACB IBAN, you provide it to your counterparties without delay.

All attachments imposed on your Tokuda Bank accounts will automatically be transferred to your account(s) with BACB. The restrictions on the funds available in your accounts will remain in force under the same terms.

If you have accounts with both Tokuda Bank and BACB that are subject to identical attachments, the attachment imposed at BACB will remain in force, following an adjustment to the amount subject to attachment, where necessary. 

BACB will recognise express written powers of attorney accepted by Tokuda Bank for acts of disposal, where the principal's signature has been notarised/certified.

Ordinary written powers of attorney accepted by Tokuda Bank, whether on the Bank's standard form or in free text, without notarisation/certification of the principal's signature, will be recognised until the merger date. After that date, for additional security when disposing of funds in your accounts, BACB will accept only express written powers of attorney for acts of disposal bearing a notarised/certified signature of the principal. If you wish the persons authorised by you to continue carrying out acts of disposal after the merger, you will need to issue them with a new express written power of attorney bearing a notarised/certified signature of the principal. For your convenience, power of attorney forms will be available from your servicing branch.

Individually agreed fees and charges for Tokuda Bank customers will be transferred to BACB on the same terms. Those that do not have a specified period of validity will remain valid until 30 November 2027, after which they may be renegotiated.

Debit Cards

Active MasterCard and Maestro debit cards issued by Tokuda Bank will be automatically reissued as BACB Visa debit cards with a new card number (PAN), while retaining the card type and currency and in accordance with the applicable EU regulations.

Remember: BACB will never ask you for your card number, PIN, CVV/CVC, passwords or one-time codes by telephone or email.

The new cards will be produced and personalised in advance, and will be distributed between 15 September 2026 and 30 October 2026.

Your servicing branch will notify you when your card is ready for collection.

Yes. When you visit your servicing branch to collect the card, you will be asked to sign a Business Debit Card Issuance Agreement.

The new Visa card will remain inactive until the date of the official merger of Tokuda Bank into BACB.

On the merger date:

  • the new Visa card will be activated automatically;
  • the existing MasterCard/Maestro card will be deactivated automatically.

Throughout the transitional period, arrangements will be made to ensure that you have an active payment instrument available.

Important: You will be notified separately of the exact merger date. We recommend that you have both cards with you on that day and that you are familiar with the PIN for your new Visa card.

The new Visa card comes with an entirely new PIN, and the old PIN will no longer be valid.

The card will be reissued entirely free of charge.

The new cards will be issued with the standard limits set out in BACB's current List of Terms and Conditions and General Terms and Conditions. If the limits on your Visa card do not meet your needs, once your card has been activated, staff at BACB branches or the Contact Centre will help you request an individual limit.

The new Visa cards offer a significantly wider range of features and services compared with the existing cards, including:

  • the option to add the card to a digital wallet;
  • cashback;
  • higher payment transaction limits;
  • remote identification;
  • modern digital services and additional features.

Detailed information about all available features will be provided in the accompanying letter with your new card.

The fees set out in BACB's current List of Terms and Conditions for the relevant card product will apply.

All payments, including subscription payments made with a Tokuda Bank card, will stop once the card is deactivated on the merger date. To ensure continuity of the service, register your new Visa card for the subscription and inform the merchant of the change, if required.

Registration for automatic payment of utility bills will be automatically terminated when the MasterCard/Maestro card is deactivated on the merger date.

To continue using a similar service after the merger, you can subscribe to BACB's "Automatic Payment of Utility and Other Service Bills" service. When you visit a Tokuda Bank branch to collect your Visa card, you will be able to apply for the service.

In connection with the merger, BACB, jointly with Visa, will organise special promotional campaigns for cardholders, offering the opportunity to win attractive prizes and a trip abroad for two.

The new cards will be automatically included in the campaigns. Details will be published in due course on the BACB website.

The service for blocking a lost or stolen card is available 24/7.

POS Terminals

No. All active POS terminals provided by Tokuda Bank will be replaced with new BACB devices.

The new POS terminals will be configured in advance and distributed by the end of October 2026.

Your servicing branch will notify you when the new POS terminal is ready for collection.

Yes. When you visit your servicing branch to collect the new POS terminal, you will be asked to sign an Agreement for Processing Payments with Domestic and International Cards at a POS Terminal.

The new POS terminal will remain inactive until the date of the official merger of Tokuda Bank into BACB.

On the merger date:

  • the new BACB POS terminal will be activated automatically;
  • the existing Tokuda Bank POS terminal will be deactivated automatically.

This will ensure that you have an active device throughout the transitional period.

Important: We recommend that both devices are available and switched on at your business premises on that day.

Yes. Proceeds from POS transactions of merchants who are Tokuda Bank customers will be credited to the new IBAN issued by BACB.

No. The service will continue without interruption for you as a merchant.

Loans

The terms, interest rate, collateral and insurance applicable to your existing business loans will remain unchanged until they expire or are renegotiated.

Nothing will change automatically. The interest rates under each agreement will remain unchanged. If you wish, BACB may review your individual case and offer a better solution.

Until the merger, only at a branch of the bank that granted the respective loan.

For loans granted by Tokuda Bank, until the merger you may request renegotiation of the terms, including the term, maturity date, instalment and interest rate, by submitting a request at a Tokuda Bank branch. Following the merger, you may submit a request at any BACB branch, as Tokuda Bank branches will become BACB branches, where you will be offered the best solution.

Yes. If you have not yet signed an agreement, the approval will remain valid for the period and on the terms agreed before the merger.

Before the merger, your loan application addressed to Tokuda Bank will be considered by Tokuda Bank, and after the merger by BACB.

For the period stated in the offer itself. Simply observe the stated deadline.

Yes, you will continue to receive payment reminders as usual.

Internet Banking and Online Services

The way you access internet banking will not change following the merger.

You will continue to use the same web address, username and password.

On the merger date, the platform will have an updated look reflecting BACB's corporate identity.

The change will be mainly visual. The core functionality, menus and way of using the platform will remain unchanged.

Following completion of the integration, BACB will continue to develop its internet banking services by introducing new features, services and products offering more opportunities for remote banking.

You will be informed of all new developments in due course.

Yes. BACB offers accounts for private enforcement agents, insurers, notaries and lawyers.

Tokuda Bank Properties and Other Assets (Machinery and Equipment) for Sale or Rent

Please contact BACB's Asset Management Department at propertymanagement@bacb.bg. They will assist you with all enquiries relating to properties, machinery and equipment owned by Tokuda Bank and offered for sale.

ESG and European Programmes and Projects

It will not. The contractual terms of loans already granted, including those under programmes with the Fund Manager of Financial Instruments in Bulgaria EAD (FMFIB) and the Municipal Guarantee Fund for Small and Medium-Sized Enterprises, will remain unchanged, and all commitments undertaken will be honoured in full.

Yes. The interest rates and all other terms under your existing agreements, including those under FMFIB Covid-19/Recovery programme and the Municipal Guarantee Fund, will remain unchanged until expiry or renegotiation

It will become more convenient. We are expanding the range of programmes and the servicing network, while the application processes are being streamlined and will be available at all branches of the merged bank.

BACB is actively developing products with a sustainability focus, including green loans, energy efficiency, organic farming and the circular economy. Following the merger, Tokuda Bank customers will have access to these products.

Yes. The merged bank will continue to participate in national and European programmes, including those supported by guarantees from FMFIB, the Bulgarian Development Bank and the National Guarantee Fund, and plans to participate in new initiatives aimed at small and medium-sized enterprises.

Sustainable development is a strategic priority for BACB. By 2026, we are implementing an ESG strategy focused on new green products, a lower carbon footprint and the promotion of responsible investment, while customers are provided with access to information and support for sustainable projects.

Yes. BACB offers specialised loans secured by expected direct payments under the CAP, including BISS, the Basic Income Support for Sustainability scheme, and other forms of support for which you have concluded agreements or submitted applications.

Yes. Following the transformation, you will have access to all BACB agricultural products, including loans against subsidies. The Bank has extensive experience and expertise in the agricultural sector.

A quick application process, simplified collateral requirements, with direct payments serving as the main collateral, and flexible repayment, usually aligned with the payment schedule of the State Fund Agriculture.

The process is simple. You need to be registered as an agricultural producer and to have submitted an application in IACS. The Bank will prepare an offer based on the expected subsidy, and you will provide a copy of your CAP application and the standard documentation: an IACS certificate and a statement of payments received in previous years

Yes. This is precisely what loans against subsidies are intended for: working capital for soil preparation, fertilisers, seeds, fuel, wages and all other day-to-day farm expenses.

No. Existing agreements will continue to be serviced in the same way, with no change to their terms. If you would like a new product with better terms, our experts will assist you with an analysis and an individual offer.

Financial Instruments

Your portfolio will be transferred to BACB in its capacity as an investment intermediary. 

Yes. You will continue to receive regular information about your portfolio, including its size and value as at a given date. 

Yes. You will be able to submit orders to BACB for transactions in financial instruments, both in respect of instruments you already hold and for the purchase of new ones. 

You will receive through BACB the income from the financial instruments you hold, including dividends and interest payments. 

Yes. You will be able to request at BACB a certificate to be issued by the Central Depository confirming the financial instruments you hold.

Precious Metal Products and Commemorative Coins

Yes. Precious metal products and commemorative coins will be available for purchase at selected BACB branches.
